Actionable ML Inc.

1. Scope of Services
Actionable ML Inc. provides three distinct service offerings under these Terms:
Agentic AI as a Service: A fully managed platform and development service. Actionable ML designs, builds, and hosts custom agentic AI workflows on its high-performance cloud infrastructure. Customers provide business requirements; Actionable ML handles all engineering, infrastructure, security, and scaling. This service is intended for organizations and developers that need to deploy sophisticated AI pilots or production flows without managing their own cloud or container environments. Customers may migrate their flows to their own infrastructure at any time; customer-provided logic and business requirements remain the customer’s intellectual property.
Smart Agentic Assistants: Subscription-based, pre-built AI chatbot products configurable for specific business use cases, hosted on Actionable ML infrastructure.
Strategic AI Consulting: Advisory and custom development engagements covering the full AI adoption lifecycle, including strategy, architecture, development, deployment, training, and governance. Each consulting engagement is governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA). In the event of any conflict between these Terms and an individual SOW or MSA, the SOW or MSA shall govern with respect to that engagement.
These Terms apply to all pilots, production flows, subscriptions, and advisory engagements unless otherwise specified in a separate written agreement.
2. Age and Eligibility
You must be at least 18 years old to use this Site or purchase Services. By using the Site, you represent and warrant that you meet this age requirement and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
3. Accounts
When creating an account, you agree to:
- Provide accurate, current, and complete information.
- Maintain the confidentiality of your login credentials.
- Notify us promptly of any unauthorized access or security breaches.
We may suspend or terminate your account if you provide false information or violate these Terms. Your account information is handled in accordance with our Privacy Policy.
4. Intellectual Property Ownership
Ownership of intellectual property depends on the service tier:
Agentic AI as a Service: Customer-provided business logic, requirements, and data inputs remain the sole property of the Customer. Upon request or at the conclusion of the engagement, Actionable ML will facilitate migration of customer-owned flows to the Customer’s preferred environment. Actionable ML retains ownership of its underlying infrastructure, proprietary frameworks, reusable components, and platform tooling used to build and host the flows.
Smart Agentic Assistants (Subscription): All rights, title, and interest in the software, logic, and infrastructure underlying the subscription product remain exclusively with Actionable ML Inc. No ownership is transferred to the Customer. Customers receive a limited, non-exclusive license to use the product during the term of their subscription.
Strategic AI Consulting Deliverables: For custom development services delivered under a separate SOW, the “End Product” (as defined in that SOW) shall be owned by the Customer upon receipt of full payment, unless otherwise specified. Actionable ML retains ownership of all pre-existing intellectual property, proprietary methodologies, and reusable code templates incorporated into deliverables.
All content on this Site — including text, graphics, logos, software, and documentation — is the property of Actionable ML Inc. or its licensors and is protected by copyright, trademark, and applicable law. You may not copy, reproduce, modify, distribute, or create derivative works without prior written consent.
5. Acceptable Use
You agree to use the Site and Services only for lawful purposes. You will not:
- Violate any applicable laws or regulations.
- Infringe intellectual property rights of others or of Actionable ML Inc.
- Upload or transmit malware, spam, or harmful code.
- Attempt to gain unauthorized access to other accounts or the Site’s systems.
- Engage in fraudulent, abusive, or deceptive activity.
- Create fully autonomous agents for regulated financial, legal, or medical advice without appropriate human oversight.
- Engage in unauthorized high-volume scraping or activity that degrades network or system integrity.
- Collect sensitive personal data through hosted services without explicit user consent.
We reserve the right to suspend or terminate access for conduct that violates these Terms or applicable law, including suspension of any agentic flow that exceeds fair-use consumption limits or threatens system integrity.
6. AI and Autonomous Action Disclaimer
AI-generated outputs — including responses from chatbots and actions taken by agentic flows — are produced automatically and may be inaccurate, incomplete, or outdated. Actionable ML Inc. does not guarantee the accuracy or completeness of any AI-generated content.
Customers are solely responsible for validating all AI-driven logic before production deployment, including testing for unintended behaviors. Actionable ML specifically disclaims liability for any financial, operational, legal, or other loss resulting from an agent performing a task it was authorized to execute via a customer-configured flow, including irreversible actions such as sending communications, executing transactions, or modifying external data.
Chatbot and agentic outputs are provided for operational and informational purposes only and should not be relied upon as a substitute for professional legal, medical, financial, or regulatory advice. Users are responsible for independently verifying information and exercising their own judgment when acting on AI-generated content.
7. Customer Data and Processing
Customers retain ownership of all data, inputs, and outputs generated through their hosted services (“Customer Data”). By using our Services, you grant Actionable ML Inc. a limited, non-exclusive, worldwide license to host, process, store, and transmit Customer Data solely as necessary to provide and maintain the Services.
We do not sell or share Customer Data with third parties except as required to provide the Services, comply with law, or as described in our Privacy Policy. We do not use Customer Data to train AI models without explicit consent.
8. End-User Interactions
Customers are solely responsible for all content and data collected or transmitted through their hosted chatbots or agentic flows. Actionable ML does not monitor or control such content and shall not be liable for any communications or actions arising from those interactions. Customers represent that their deployments comply with all applicable privacy, consumer-protection, and data-collection laws.
9. Data Security
Actionable ML uses reasonable administrative, technical, and physical safeguards to protect Customer Data from unauthorized access, use, or disclosure, including encryption of data at rest and in transit. Because agentic flows may integrate with external third-party APIs and services, users acknowledge that data security beyond Actionable ML’s internal infrastructure is a shared responsibility. No system is completely secure, and we cannot guarantee absolute security.
10. Service Availability and Support
We strive to maintain high availability for hosted Services but do not guarantee uninterrupted access. Scheduled maintenance windows, including security patching and container restarts, are excluded from uptime calculations. We are not liable for service interruptions caused by third-party provider outages.
Support response times are as follows: initial response for Smart Agentic Assistant inquiries within 24 hours; initial response for all other infrastructure and agentic service inquiries within 48 hours. Response times refer to first contact and not final resolution.
We shall not be liable for any loss of data, revenue, or business arising from temporary service interruptions.
11. Data Retention and Deletion
We retain Customer Data for the duration of your subscription and up to 30 days after termination, unless required by law to retain it longer. Technical and security logs may be retained for up to 90 days. Upon written request or termination, we will delete or return Customer Data in accordance with our data retention policies.
12. Cross-Border Data Transfers
Customer Data may be stored and processed in the United States or other jurisdictions where Actionable ML or its service providers operate. By using the Services, you consent to such transfer and processing in accordance with applicable data protection laws.
13. Subscriptions and Renewals
Some Services are offered on a subscription basis (monthly or yearly).
- Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled in advance.
- Cancellation: You may cancel at any time through your account settings or by written notice to support@actionableml.com. To avoid renewal charges, cancellation must be submitted at least five (5) business days before the next billing date.
- Failure to Pay: We reserve the right to suspend or terminate subscriptions for non-payment.
14. Payments
We accept credit card, debit card, PayPal, and direct debit. By providing payment information, you authorize us and our payment processors to charge your selected payment method for all applicable fees. All payments are processed in USD. You are responsible for any currency-conversion or bank fees charged by your payment provider. We do not store full payment card information.
15. Refund Policy
Digital Goods: All sales of digital goods are final and non-refundable once delivered or made accessible.
Subscription Services:
- Monthly subscriptions are non-refundable.
- Yearly subscriptions cancelled before the end of the subscription term will be recalculated at the standard (non-discounted) monthly rate plus any applicable setup fees. The remaining balance, if any, will be refunded to the original payment method within 30 days of the cancellation request.
- Refund requests must be submitted within 30 days of cancellation.
Consulting Engagements: Refund terms for consulting retainers and project-based engagements are governed by the applicable SOW or MSA. In the absence of specific terms, fees for work already performed are non-refundable.
Nothing in this section limits your statutory rights under applicable consumer-protection laws.
16. Consumer Protection
If any consumer-protection laws in your jurisdiction — including applicable U.S. federal or state laws or Canadian federal or provincial laws such as PIPEDA and applicable provincial privacy legislation — apply and cannot be excluded by contract, these Terms shall be read subject to those mandatory provisions. Nothing in these Terms is intended to limit rights that cannot be waived by law.
17. Limitation of Liability
To the fullest extent permitted by law, Actionable ML Inc., its officers, employees, contractors, affiliates, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or relating to your use of the Site or Services.
Where liability cannot be excluded by law, our total aggregate liability shall not exceed the amount you paid for Services during the 12-month period preceding the claim.
These limitations do not apply to liability arising from gross negligence, willful misconduct, or as otherwise prohibited by law.
18. Indemnification
You agree to indemnify and hold harmless Actionable ML Inc. and its affiliates, officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Site or Services, your violation of these Terms, your Customer Data or custom prompts, or your infringement of any third-party rights.
19. Governing Law
These Terms and any disputes arising out of or relating to them are governed by the laws of the State of Washington, U.S.A., without regard to conflict-of-law principles. For Canadian customers, these Terms are additionally subject to applicable federal and provincial laws of Canada where mandatory.
20. Dispute Resolution
If a dispute arises, the parties agree to first attempt resolution through good-faith discussions. If unresolved within 30 days, the matter shall be submitted to non-binding mediation, and if still unresolved, to binding arbitration in Seattle, Washington, U.S.A., conducted in English under the rules of the American Arbitration Association. Each party shall bear its own costs unless the arbitrator decides otherwise. Either party may seek injunctive or equitable relief or bring an action in small-claims court without first completing the mediation process.
21. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remaining provisions shall remain in full force and effect.
22. Changes to These Terms
We may update these Terms periodically to reflect operational, legal, or regulatory changes. Material changes will be communicated to registered users by email at least 30 days before taking effect. Non-material updates will be reflected by a revised Effective Date on this page. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
